Principles of Professional Conduct

KAFKAS expects its suppliers to conduct business responsibly, with integrity, honesty, transparency, and to adhere to the following principles:

  1. Compliance with the Law
    • Comply with the applicable laws and regulations of the country, as well as internationally established commercial rules.
  2. Anti-Corruption and Bribery
    • Conduct your business ethically. Specifically:
      • Operate within the framework of fair competition, without blackmail, bribery, kickbacks, or the offering of benefits to secure an unfair advantage.
      • Ensure that monetary payments, gifts, or other forms of commitments to customers, government officials, and any third parties are fully in compliance with the applicable anti-bribery laws.
  3. Fair Competition, Antitrust Legislation, and Intellectual Property Rights
    • Act in accordance with national and international competition laws and avoid engaging in price-fixing, market or customer allocation, market sharing, or bid-rigging practices with competitors.
    • Respect intellectual property rights, including those of KAFKAS.
    • Obtain information only through legal means. Avoid relationships with competitors that may be considered illegal agreements or arrangements, such as price-setting negotiations, sales share agreements, unfair practices intended to drive a competitor out of the market, or prohibit entry into the market.
  4. Conflict of Interest
    • Commit to avoiding any situation or condition that may appear and be classified as a conflict of interest, thus protecting your credibility and trust with KAFKAS.
    • Business decisions must be made with the sole focus on the company’s overall interests. Avoid any business activity where personal interests may prevent you from making an objective decision. In situations where personal interests may conflict with the company’s interests, disclose any conflict of interest to KAFKAS, including revealing any existing financial interest by KAFKAS employees in your business.
  5. Respect for Employees’ Fundamental Human Rights
    • Prohibit any form of discrimination based on race, color, age, gender, sexual orientation, nationality, possible disability, religious and political beliefs, union membership, national origin, or family status. These must not affect the company’s hiring, employment practices, promotions, compensation, health and safety, training, evaluation, job assignment, benefits offerings, or termination.
  6. Child Labor Prohibition
    • Comply with national legislation and all regulations regarding minimum employment age, and do not engage in child labor in any stage of your activities.
    • Take steps to prevent and eliminate any conditions that might encourage child labor at your workplace or in areas where you operate.
  7. Employee Health and Safety
    • Implement proper hygiene and safety management practices in all areas of your business activity and ensure that employees have access to clean and safe facilities, drinking water, basic fire safety equipment, first aid kits, and emergency response for environmental, fire, and medical needs.
  8. Environmental Protection
    • Conduct your business activities with respect for the environment and comply with all applicable environmental laws and regulations.
    • In your decision-making process, consider potential negative impacts on society, the environment, and natural resources, while ensuring public health and safety are maintained in your daily operations.
  9. Conflict-Free Minerals
    • Ensure that the products supplied to KAFKAS comply fully with the relevant regulations on the prohibition and restriction of the use of substances, including hazardous materials and conflict minerals.
  10. Supplier Chain
    • Make reasonable efforts to promote compliance with this Code by your direct and indirect suppliers, with whom you collaborate in providing goods or services on behalf of KAFKAS.
  11. Compliance with the Code
    • You must comply with this Code while conducting business activities with or on behalf of KAFKAS. If you are unable to ensure compliance and the work you are performing for KAFKAS is primarily carried out by subcontractors or their suppliers, they must comply with this Code as well.
    • KAFKAS may request verification of compliance from its key suppliers through the following methods:
      • Key suppliers may be asked to complete a questionnaire regarding compliance with the aforementioned criteria.
      • A KAFKAS representative may contact key suppliers and request permission to verify the degree of compliance with the criteria at their premises.
      • Key suppliers may be asked to provide relevant certificates or other official documents.

If a supplier already implements a similar Code of Ethics, which is more stringent and exceeds the rules of this Code, it will be accepted by KAFKAS.
